1. Definitions

For the purposes of these Terms:

  • Noladi (or "we"): operator of the Noladi SaaS platform, provider of the technological infrastructure.
  • Organization: individual or legal entity (school, institution, or independent teacher) holder of the Noladi account, responsible for contracting the service, registering Students, and providing educational activity in its own white-label environment (subdomain.noladi.app).
  • Teacher: individual linked to the Organization who delivers the classes and operates the platform on the Organization's behalf.
  • Student: individual who receives the classes, registered and managed by the Organization. The Student is the data subject for the purposes of the LGPD.
  • Legal Guardian: parent, guardian, or legal representative of a Student under 18 years old, who authorizes the processing of the minor's data.
  • Controller / Operator: terms defined in the LGPD (Law No. 13,709/2018). The Organization is the Controller of the Students' data; Noladi acts as the Operator, processing such data according to the Organization's instructions and within the limits of these Terms.

2. Acceptance of Terms

By accessing or using Noladi, you declare that you have the legal capacity and authority to represent the Organization that owns the account, and you fully agree to these Terms of Use and the Privacy Policy. If you do not agree with any part of these terms, do not use the service.

Continued use of the platform after material changes constitutes acceptance of the new terms.

3. Service Description

Noladi is a white-label platform for Organizations and independent Teachers (primarily of languages) to deliver online classes to their own Students. The platform combines a live classroom (1:1 video, screen sharing, collaborative whiteboard, real-time chat), scheduling, automatic class recording, transcription, and AI-generated post-class reports (vocabulary, corrections, and Student progress).

Each Organization receives its own address (subdomain.noladi.app) and maintains the direct relationship with its Students: Noladi provides infrastructure and intelligence, but does not act as a commercial, pedagogical, or contractual intermediary between Organization and Student, does not charge per-class commissions, and does not opine on content, methodology, teaching quality, pricing, or employment or registration relationships between the Organization, Teachers, and Students. We reserve the right to modify, suspend, or discontinue features at any time, with reasonable notice when possible, without liability to you or any third party.

4. Account and Security

To use Noladi, the Organization must create an account by providing accurate and complete information. The Organization is responsible for:

  • Maintaining the confidentiality of all access credentials (its own, those of its Teachers, and those of linked Students);
  • Any and all activity carried out under its account and under the accounts of Teachers and Students linked to its environment;
  • Notifying Noladi immediately of any unauthorized use, suspected leak, or compromise of credentials;
  • Ensuring that only authorized individuals access its account and its Students' area;
  • Keeping registration data up-to-date and accurate.

Noladi is not liable for any losses or damages arising from failure to comply with these obligations.

5. Roles and Responsibilities

For purposes of the LGPD, the Organization is the Controller of its Students' personal data and Noladi acts as the Operator, processing such data exclusively according to the Organization's instructions and within the limits of these Terms. The Organization represents and warrants that:

  • It has a valid legal basis (consent, performance of a contract, legitimate interest, legal obligation, or other) to collect, store, and process the data of its Students, Teachers, and other registered users;
  • It informs its Students in advance about the use of Noladi, about class recording and transcription, and about the generation of AI reports, obtaining the necessary authorizations and consents;
  • It is responsible for responding, within the legal time frame, to all Student requests related to LGPD rights (access, correction, deletion, portability, withdrawal of consent, objection, information about sharing, etc.), and may request technical support from Noladi when necessary;
  • It is responsible for class content, pedagogical activities, commercial and/or employment ties with its Teachers, and contractual and financial relationships with its Students;
  • It complies with all legislation applicable to its activity (educational, tax, labor, consumer, and data protection).

Noladi does not verify, validate, or audit the Organization's compliance with these obligations, presuming their truthfulness in the absence of notice to the contrary.

6. Minors Under 18

Noladi is intended for use by persons over 18 years old. When the Organization chooses to register a Student under 18, the Organization declares, under its exclusive responsibility, that:

  • It has obtained specific, highlighted, written consent (or in a verifiable format) from the minor's Legal Guardian, in the best interests of the child or adolescent, pursuant to Article 14 of the LGPD and the Brazilian Statute of the Child and Adolescent;
  • It keeps the record of such consent archived and makes it immediately available to Noladi in the event of a request or dispute;
  • It has informed the Legal Guardian about the recording, transcription, and AI report features, and about the data subject rights provided for in the LGPD;
  • It ensures that any communication directed at the minor is appropriate, safe, and compliant with child and adolescent protection legislation.

Noladi does not verify the age of registered Students, does not request documents for validation, and does not maintain proof of Legal Guardian consent. These obligations rest entirely with the Organization. Should Noladi be notified, by any means, of the irregular processing of a minor's data without valid Legal Guardian consent, it may preemptively suspend the Organization's account and remove the data involved, without prejudice to other legal measures.

7. Acceptable Use

The Organization, its Teachers, and other linked users agree not to use the service to:

  • Engage in illegal activities or violate the rights of third parties, including recording, transcribing, or disclosing persons without informed consent;
  • Register, deliver classes to, or generate reports on a Student under 18 without prior written consent from the Legal Guardian;
  • Disclose, publish, commercialize, or transfer to third parties any recordings, transcripts, audio, video, or reports obtained from the platform without express authorization from the Student (or Legal Guardian, when a minor);
  • Send spam, viruses, or any malicious code through the platform;
  • Attempt to access the systems or data of other Organizations;
  • Reverse-engineer or make unauthorized copies of the platform;
  • Intentionally overload the infrastructure, the live classroom, or the post-class processing queue.
  • Use the Organization's subdomain and public address for phishing, impersonation, imitation of third-party brands or of {{appName}} itself, or any deceptive, fraudulent, or malicious purpose.

Noladi may, at its sole discretion and at any time, suspend, rename, reclaim, or remove a subdomain, as well as suspend or terminate the associated account, with or without prior notice, upon identifying misuse or malicious use, breach of these Terms, or risk to the security, infrastructure, or reputation of the platform and of third parties. Reserved subdomains, or those imitating brands, official services, or infrastructure terms, may also be blocked or revoked.

8. Security Incident Notification

The Organization undertakes to notify Noladi within 24 (twenty-four) hours of becoming aware of any of the following events involving Noladi, the data processed therein, or its Students' data:

  • Actual or suspected security incident (unauthorized access, leak, exposure, loss, destruction, or alteration of data);
  • Compromise of credentials of any user (Teacher or Student) linked to the account;
  • Misuse, unauthorized disclosure, or redistribution of recordings, transcripts, or reports;
  • Any irregularity, failure, technical weakness, or third-party conduct that may compromise the integrity, confidentiality, or availability of the data;
  • Complaint, subpoena, or request from a public authority (ANPD, Public Prosecutor's Office, Procon, Courts, etc.) related to the processing of data in Noladi.

The notification must be made through the channel seguranca@noladi.app, , containing all known data about the event (scope, estimated number of affected data subjects, data involved, measures taken so far). Upon receipt of the notification, Noladi will assess the case and take the appropriate measures within its technical and legal sphere, which may include, as applicable: conducting a technical investigation, preemptively suspending resources, requiring corrective measures from the Organization, notifying the ANPD within the LGPD deadlines, and/or notifying affected data subjects when required by law. Noladi does not replace the Organization in fulfilling the communication obligations set forth in Articles 48 et seq. of the LGPD.

9. Payments and Plans

Noladi is billed via a recurring monthly subscription paid by the Organization that owns the account. For paid plans:

  • Charges are processed by our payment partner according to the contracted plan cycle;
  • Prices may be changed with 30 days' prior notice via email;
  • We do not issue refunds for partial unused periods;
  • Trial periods, per-class credits, and promotional plans follow the specific rules communicated at signup;
  • Non-payment may result in suspension of access to the live classroom and class history, without prejudice to the right to export data during the retention period.

10. Class Content and Intellectual Property

All software, design, code, and features of Noladi are the exclusive property of Noladi and are protected by copyright and intellectual property laws. Data entered by the Organization into the platform (Student records, schedules, class recordings, per-participant audio, transcripts, vocabulary, and post-class reports) remains the property of the Organization. By using the service, the Organization grants Noladi a limited, non-exclusive, revocable license to process that data for the sole purpose of providing the contracted service, including recording, automatic transcription, and AI-generated post-class reports. AI-generated content is offered as pedagogical support and may contain inaccuracies; review before making decisions based on it.

11. Limitation of Liability and Indemnification

To the fullest extent permitted by applicable law, Noladi shall not be liable for:

  • Indirect, incidental, or special damages, lost profits, loss of business opportunity, or loss of revenue;
  • Loss of data or temporary interruptions of the live classroom or post-class pipeline due to maintenance, technical failures, or causes beyond its control (e.g., unavailability of real-time media, transcription, or AI providers);
  • Content, conduct, pedagogical quality, employment ties, contracts, commercial, financial, or tax agreements entered into between the Organization, its Teachers, and its Students;
  • Inaccuracies in transcripts or AI-generated reports, which must always be reviewed by the Organization before any decision is made;
  • Misuse, unauthorized disclosure, export, or redistribution of recordings, transcripts, reports, or any platform data by the Organization, its Teachers, its Students, or third parties after legitimate access;
  • Irregular processing of underage Students' data without Legal Guardian consent, in which case responsibility rests exclusively with the Organization.

Noladi's total liability to the Organization, any Teacher, Student, or third party, across all claims combined, shall not exceed the amount actually paid by the Organization for the service in the 3 (three) months preceding the event.

The Organization agrees to indemnify, defend, and hold harmless Noladi (and its partners, officers, employees, and contractors) from and against any and all claims, losses, damages, fines, costs, expenses, or attorneys' fees arising out of or related to: (i) breach of these Terms by the Organization, its Teachers, or its Students; (ii) irregular processing of Student data without a legal basis or without Legal Guardian consent when a minor; (iii) unauthorized disclosure of recordings, transcripts, or reports; (iv) failure by the Organization to comply with any obligation under the LGPD or legislation applicable to its activity.

12. Cancellation

The Organization may cancel its account at any time through the platform settings. After cancellation:

  • Access to the service will end at the close of the current billing period;
  • Data will be retained for up to 30 days for potential export by the Organization;
  • After that period, data is permanently deleted, subject to the specific audio and recording retention policy described in the Privacy Policy.

Noladi reserves the right to suspend or terminate accounts that violate these Terms of Use, without prior notice and without entitlement to a refund.

13. Changes to These Terms

We may update these Terms of Use from time to time. When we make material changes, we will notify you by email or via an in-platform notice at least 15 days in advance. Continued use of the service after the changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These Terms are governed by Brazilian law. Any dispute shall be resolved before the courts of the District of Florianópolis/SC, with express waiver of any other venue, however privileged.

15. Third-party integrations

Noladi offers optional integrations with third-party services (currently Canva and Google Calendar). Activation is optional and performed by you.

By connecting an integration, you authorize Noladi to access and act on the corresponding account within the granted scopes — for example, creating and managing events on your Google Calendar or importing designs from Canva. These integrations are also governed by the respective provider's terms and policies (Google and Canva), which you acknowledge and accept.

You may revoke access at any time by disconnecting the integration in your profile. Noladi is not responsible for the unavailability, changes or discontinuation of third-party services, nor for the content stored in them.
